P5 Senior Lead - Corporate Secretarial

About the Team:

The Corporate Secretarial team is responsible for supporting corporate governance, statutory compliance and regulatory requirements across PayU. The team works closely with the Company Secretary, senior management, the Board and its committees, internal stakeholders, shareholders, auditors and regulatory authorities.

 

About the Role:

PayU is looking for a technically strong and proactive Senior Lead – Corporate Secretarial to support the Company Secretary and lead key corporate secretarial and governance activities. The role will involve managing statutory compliances, Board and committee processes, regulatory filings, corporate records, shareholder-related matters and governance initiatives. The position will require close engagement with senior management and internal and external stakeholders in a fast-paced and evolving environment.

 

Responsibilities:

  • Manage compliances under the Companies Act, applicable SEBI regulations, Secretarial Standards and other corporate governance requirements.
  • Manage end-to-end processes for Board and committee meetings, including: Preparation and circulation of notices, Agenda coordination, Compilation of Board papers, Drafting and finalisation of minutes, Tracking of action points.
  • Coordinate statutory filings, disclosures and intimations with the Registrar of Companies, stock exchanges and other regulatory authorities.
  • Maintain statutory registers, corporate records, compliance trackers and other secretarial documentation.
  • Monitor regulatory developments and support their timely implementation across the organisation.
  • Support the preparation of the Annual Report and Business Responsibility and Sustainability Report (BRSR).
  • Support general meeting, postal ballot, dividend, Investor Education and Protection Fund (IEPF) and shareholder-service processes.
  • Monitor compliance under the SEBI (Prohibition of Insider Trading) Regulations, 2015.
  • Lead, guide and review the work of team members.
  • Support corporate secretarial audits, statutory audits, due diligence exercises and regulatory reviews.
  • Provide corporate secretarial support for corporate transactions and special projects.
  • Identify opportunities for process improvements and strengthen corporate governance and compliance processes.
  • Provide practical guidance to internal stakeholders on applicable corporate secretarial and governance requirements.

 

Requirements:

  • Qualified Company Secretary.
  • At least 8 years of relevant experience, preferably in a listed company or a complex corporate secretarial environment.
  • Strong knowledge of the Companies Act, applicable SEBI regulations, Secretarial Standards and corporate governance practices.
  • Experience in managing end-to-end Board and committee meeting processes.
  • Experience in handling regulatory filings, disclosures and intimations with the Registrar of Companies, stock exchanges and other regulatory authorities.
  • Experience in maintaining statutory registers, corporate records and compliance trackers.
  • Experience in managing general meetings, postal ballots, dividend-related matters, IEPF processes and shareholder services.
  • Working knowledge of compliance requirements under the SEBI (Prohibition of Insider Trading) Regulations, 2015.
  • Experience in supporting Annual Report and BRSR processes.
  • Experience in handling audits, due diligence, corporate transactions and special projects.
  • Strong drafting, written and verbal communication skills.
  • Strong stakeholder-management and organisational skills, with a high level of accuracy and discretion.
  • Ability to manage multiple deadlines, interpret regulatory changes and provide practical guidance to the business.
  • Experience in handling an IPO, including IPO-related corporate secretarial, governance, due diligence, disclosure or regulatory activities, will be an advantage.
